01The agreement

These Terms of Service ("Terms") are a contract between you and Purple SaaS, LLC (DBA SureForm) ("SureForm", "we", "us"). By creating an account or using the SureForm website, form builder, or hosted forms (the "Service"), you agree to these Terms, our Privacy Policy, and our Fair Usage Policy. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes it.

If you don't agree, please don't use the Service. If you later disagree with a change, you may close your account — that is your remedy.

02Accounts & eligibility

• You must be at least 16 years old and able to form a binding contract.
• Provide accurate registration information and keep it current.
• You are responsible for everything that happens under your account and for keeping credentials confidential. Tell us immediately at security@sureform.io if you suspect unauthorized access.
• One person per login — invite colleagues to their own seat rather than sharing credentials.
• We may refuse service, close accounts, or remove content where permitted by these Terms, with notice where practicable.

03Plans, billing & the Lifetime plan

Subscriptions

Paid plans (Complete) are billed monthly or yearly in advance. Yearly billing is discounted as shown at checkout. Subscriptions renew automatically until cancelled; you can cancel any time in Settings → Billing, effective at the end of the current period. Fees are non-refundable except as stated below or required by law.

The Lifetime plan

“Lifetime” means the lifetime of the SureForm product, not yours or ours: a one-time payment for access to all Complete-plan features for as long as we operate the Service, including future updates to those features. It is not a promise of perpetual existence — if we ever shut the Service down, Section 13 (termination) governs. Lifetime purchases include a 30-day money-back guarantee.

Price changes & taxes

We may change subscription prices with at least 30 days' notice before your next renewal. Fees exclude taxes; you are responsible for applicable VAT, GST, or sales tax, which we collect where required.

Free plan

The Free plan is free forever within its stated limits. Those limits include a data-retention window: submissions on the Free plan are kept for 360 days, while every paid plan keeps your submissions for as long as your subscription is active. We may adjust Free plan limits prospectively with notice, but we will never retroactively charge you for past free usage.

04Payments through your forms

SureForm lets you accept payments via Stripe and PayPal. For those transactions:

• You are the merchant of record. Your relationship with your payers, and your obligations to them (delivery, refunds, disputes), are entirely yours.
• Your use of Stripe or PayPal is governed by their terms, and payouts go directly to your connected account — funds never pass through SureForm.
• We charge 0% platform fees on payments. Processor fees are set by and paid to your payment processor.
• Card data never touches our servers; it is handled by PCI-DSS compliant processors. You agree never to use SureForm to collect card data outside our payment fields.

05Acceptable use

You agree not to use the Service to:

1. Break any law, regulation, or third-party right (including privacy and IP rights of your respondents).
2. Phish, deceive, or impersonate — including forms mimicking banks, government bodies, or other brands.
3. Distribute malware, spam, or unsolicited bulk messages; send campaigns only to consented contacts.
4. Collect sensitive categories of data (health, biometric, precise location of minors, full government IDs) without a lawful basis and appropriate safeguards.
5. Probe, attack, reverse-engineer, or overload the Service, or misuse it as generic file hosting, proxying, or compute.
6. Resell or white-label the Service itself without a written agreement.

Our Fair Usage Policy has the operational details, and we may remove content or suspend accounts that violate it.

06Your data & our license to it

You own your forms, content, and response data. We claim no ownership. You grant us a limited, worldwide license to host, store, transmit, and display that content solely as needed to provide the Service to you (for example, rendering your published form to a respondent, or syncing a submission to your Google Sheet).

You are the data controller for response data and are responsible for your own privacy notices, lawful bases, and honoring respondent rights; our tools (retention windows, DSAR export/erasure, consent audit trails) exist to help you do that.

Feedback you send us may be used freely to improve the Service, without obligation to you.

07Our intellectual property

The Service itself — the builder, templates, themes, code, brand, and documentation — belongs to SureForm and its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing. Don't copy, resell, or frame our product as your own; don't use our name or logo without written permission beyond identifying that your form runs on SureForm (where your plan includes the badge).

08E-signatures

Signature fields produce electronic records intended to support legally binding e-signatures under laws such as the U.S. ESIGN Act and eIDAS, complete with timestamps and audit trails. Whether any particular signature is enforceable depends on your jurisdiction, the document, and how you configure the process — we provide the tool, not legal advice, and we don't guarantee admissibility of any specific signature.

09Disclaimers

We work hard to keep SureForm fast and reliable (see our published uptime), but the Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted or error-free, or that AI-generated forms will be correct for your purposes — review what you publish.

10Data Processing Addendum (DPA)

Where we process personal data on your behalf (response data), our standard Data Processing Addendum applies automatically and is incorporated into these Terms. It covers processor obligations, sub-processors, security measures, international transfer mechanisms (including Standard Contractual Clauses), audit rights, and breach notification within 72 hours of confirmation. Request a countersigned copy at legal@sureform.io. If the DPA conflicts with these Terms on data-processing matters, the DPA wins.

11Limitation of liability

To the maximum extent permitted by law:

• Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
• Our aggregate liability arising out of the Service is capped at the greater of the fees you paid us in the 12 months before the claim or USD $100 (for Free-plan users).

Nothing in these Terms limits liability that cannot be limited by law (including for gross negligence, willful misconduct, or death/personal injury caused by negligence).

12Indemnification

You will indemnify and hold SureForm harmless from third-party claims, damages, and expenses (including reasonable legal fees) arising from your forms, your content, your misuse of the Service, or your violation of these Terms or applicable law — for example, a respondent suing over data your form collected unlawfully. We will promptly notify you, let you control the defense, and cooperate reasonably.

13Termination

You may delete your account at any time in Settings; these Terms then end, except provisions that should survive (ownership, disclaimers, liability limits, indemnities). We may suspend or terminate accounts for material breach, with notice and a chance to cure where the breach is curable, and immediately for abuse as described in the Fair Usage Policy.

On termination, your forms go offline and your data is handled per Section 6 of the Privacy Policy: you have 30 days to export responses before deletion. If we ever discontinue the Service as a whole, we will give at least 90 days' notice and full export tooling, and Lifetime customers will receive a pro-rated refund of their purchase based on a 5-year expected service life.

14Governing law & disputes

These Terms are governed by the laws of the State of California, excluding conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts of San Francisco County, except that either party may seek injunctive relief anywhere for IP or confidentiality breaches. The UN Convention on Contracts for the International Sale of Goods does not apply. Where mandatory consumer law in your country gives you non-waivable rights or a different forum, those rights are unaffected.

15Changes to these Terms

We may update these Terms as the Service evolves. For material changes, we will notify you by email and in-product at least 30 days before they take effect. Continuing to use the Service after the effective date means you accept the new Terms; if you don't, close your account before then. The "Last updated" date always shows the current version.

16Miscellaneous & contact

• Entire agreement — these Terms plus the Privacy Policy, Fair Usage Policy, and DPA are the whole deal between us.
• No waiver — a failure to enforce a provision is not a waiver of it.
• Severability — if a provision is unenforceable, the rest stand.
• Assignment — you may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition, with notice.
• Force majeure — neither party is liable for delays caused by events beyond reasonable control.
